Specific Commercial Terms – VIP Crossing SEO Marketplace

These specific commercial terms govern the use of the VIP Crossing SEO Marketplace. They supplement the general terms applicable to the VIP Crossing website. In the event of a conflict specifically concerning an SEO placement, these specific terms prevail, subject to mandatory legal provisions.

1. Purpose of the service

The SEO Marketplace allows a signed-in member to select a VIP Crossing page offered in the catalogue, reserve a placement, choose an existing word or expression in the content to carry a link, enter a destination URL and submit a placement request.

After approval of the request and confirmation of payment, the link is published at the selected location, provided that the content and page remain technically available and compliant with these terms.

2. Account and access

Use of the catalogue, reservations, purchase requests, orders and payment requires an eligible VIP Crossing account and a signed-in session.

The account holder is responsible for the accuracy of the information supplied and for the use of the account.

3. Catalogue and page availability

Pages displayed in the catalogue are offered subject to availability. A page may be temporarily unavailable because of a reservation, exclusivity, the permitted link limit, maintenance, deactivation or editorial changes.

Any SEO information and indicators displayed are reference information only and do not constitute a guarantee of future performance.

4. Reservation

A reservation temporarily blocks a placement for the period shown on screen so that the member can prepare and submit a request. When that period expires, the reservation may be automatically released if the request has not been completed.

A reservation alone does not constitute final acceptance of the request and does not guarantee publication of the link.

5. Placement duration

Depending on the options offered, a placement may be ordered for 3 months, 6 months, 1 year or with no automatic expiry date (“permanent placement”).

A permanent placement means that no automatic expiry date is set when the order is placed. It does not guarantee that the link will remain forever. The link may in particular be removed if the article or website ceases to exist, if required by law, in the event of a breach of these terms, a refund, a payment dispute, or another legitimate reason provided for by these terms.

6. Exclusive placement

When available, the customer may select an exclusive placement. During the period covered by the exclusivity, no other SEO Marketplace link may be added to the relevant page within the technical and contractual limits of the service.

The exclusive option is priced using the multiplier displayed when the order is placed, currently ×3.

7. Anchor text and placement selection

The word or expression selected as anchor text must already appear in the existing article content. The system records the selected expression, its context and its location so that publication can take place in the correct position.

VIP Crossing may refuse a placement that is technically impossible, misleading, inconsistent with the content, already contained in a link or likely to impair the editorial quality of the page.

8. Destination URL and customer obligations

The customer warrants that they have the necessary rights to use the destination URL and that the linked page complies with applicable law, third-party rights and these terms.

Links may in particular be refused or removed when they lead to unlawful, fraudulent, misleading, malicious or infected content, infringe third-party rights, or have been materially changed after approval in a way that makes them incompatible with the approved placement.

The customer must maintain an accessible and functioning destination URL. Any material URL change or redirect may be subject to a new review.

9. Request approval

Each request may be reviewed before payment. VIP Crossing may approve or reject a request in order to preserve editorial consistency, security, legal compliance and service quality.

If a request is rejected before payment, no amount is due for that rejected request and the placement may be released.

10. Price and payment

The applicable price is the price displayed when the order is confirmed, taking into account the page, duration and selected options. Any applicable taxes are handled according to the information displayed during checkout and applicable tax rules.

Payment is processed through PayPal. An order is considered paid only after effective payment confirmation by the payment provider and the VIP Crossing system.

11. Publication

After payment confirmation, the system prepares and publishes the link at the approved location. The order status allows the customer to follow the progress of publication.

If an article change makes the selected location unavailable before publication, VIP Crossing may propose another suitable location, return publication to processing, or apply the refund policy set out below.

12. No guarantee of SEO results

The service sold is the placement and maintenance of a link under the terms of the order. VIP Crossing does not guarantee any search-engine ranking, traffic increase, number of clicks, indexation, SEO score improvement, commercial conversion or revenue.

Search engines, their algorithms and their policies change independently of VIP Crossing. A lack of improvement in SEO performance is therefore not, by itself, grounds for a refund.

13. Expiry and link removal

At the end of a temporary placement, the link may be removed automatically and the placement released. The original editorial text is preserved as far as technically possible when the link is removed.

VIP Crossing may also remove or suspend a link following a refund, cancelled or reversed payment, payment dispute, suspected fraud, a destination URL that has become non-compliant, a breach of these terms or a legal obligation.

14. Commercial refund policy

If VIP Crossing is unable to publish the link after payment for a reason attributable to VIP Crossing and no reasonable replacement solution is accepted, the customer is entitled to a full refund for the affected placement.

If a link is removed before the end of the ordered period for a reason attributable to VIP Crossing, VIP Crossing may restore the link within a reasonable time, offer an equivalent replacement placement, or refund the unperformed part of the service on a pro-rata basis for the remaining period.

No commercial refund is due solely because SEO results, traffic, rankings, clicks or conversions are below the customer’s expectations.

A commercial refund may be refused where removal results from an act or breach by the customer, including an invalid URL, material content changes, an unapproved redirect, prohibited content or infringement of third-party rights.

When a refund, payment reversal or chargeback is confirmed, VIP Crossing may automatically remove the corresponding link.

15. Consumer withdrawal rights

Where the customer qualifies as a consumer and a statutory withdrawal right applies, the customer generally has fourteen days from the conclusion of the service contract to exercise that right.

If the consumer wishes the service to begin before the end of that period, VIP Crossing collects the consumer’s express request before performance begins. If the consumer withdraws after the service has started, the consumer may be required to pay an amount proportionate to the service actually supplied up to the time the withdrawal decision is communicated, in accordance with applicable law.

Where the statutory conditions for loss of the withdrawal right following full performance of a service are met, such loss can occur only after the express consents and acknowledgements required by law.

Nothing in these terms limits a statutory withdrawal or refund right where mandatory law provides the customer with more favourable protection.

16. Complaints and payment disputes

In the event of a problem, the customer is invited to contact VIP Crossing first in order to seek an amicable solution.

Opening a dispute or claim with PayPal does not suspend the parties’ statutory obligations. When a payment is finally refunded, cancelled or reversed, the associated placement may be removed automatically.

17. Liability

VIP Crossing undertakes to provide the service with reasonable care and to use the technical means provided to publish, maintain and, where appropriate, remove ordered links.

VIP Crossing is not responsible for search-engine algorithm changes, indexing decisions, traffic variations, interruptions originating from third-party providers, or content and changes made to the customer’s destination website, subject to mandatory legal provisions.

18. Evidence and traceability

Marketplace technical records, including reservations, requests, approvals, orders, payment statuses, PayPal notifications, publication dates and removal operations, may be retained for evidence, security, support and audit purposes in accordance with applicable regulations.

19. Changes to these terms

VIP Crossing may amend these terms for future orders. Unless required by law or agreed with the customer, an amendment does not retroactively reduce rights attached to an order that has already been paid.

20. Governing law and dispute resolution

These terms are governed by French law, subject to any mandatory rules applicable to the consumer.

For consumers, the details of the competent consumer mediator must be completed below before publication:

Consumer mediator: to be completed after appointment of an approved mediator.

Before referring a matter to a mediator, the customer must first submit a complaint to VIP Crossing and attempt to resolve the dispute directly.
